WEBSITE LEASE AGREEMENT

This Website Lease Agreement is between Zaggers.com hereafter referred to as the Lessor (Website Owner) and _______________________________, a licensed real estate agent, hereafter referred to as the Lessee.

The Lessee, by executing this Website Lease Agreement, agrees to lease the website domain ______________________________________ and the ensuing website to be constructed by Lessor within 10 days of the execution of this agreement and which will reside on such domain for a period of one year or 12 months from the date of execution of this agreement. Lessor shall develop the website content based on the Lessor's and the Lessee's knowledge regarding the local and national real estate market chosen and applicable state laws regarding real estate advertising. The design and search engine optimization techniques used for the website shall be solely developed by the Lessor, branding the name and contact information of the Lessee for the purpose of exposure of the Lessee's real estate business.

The following parameters shall dictate the full and abiding terms and conditions between Lessor and Lessee: 

Leasing Fee: Waived

Design & SEO Setup Fee: Waived

Additional Compensation:  Lessor shall reserve the right to place advertising on the site at their sole discretion.  No competing agent/office shall be advertised.  All income resulting from the advertising fees is payable to Lessor. 

 All fees and costs customarily involved with the construction of the website as named above, hosting, domain purchasing and search engine optimization of the website shall be at the sole expense of the Lessor (owner of the website) and not the Lessee.

Payment of Leasing Fees: The Lessee agrees to pay the Lessor as described above  as agreed for the term of the 12 month lease. The Lessee shall be given first right of refusal to renew this Website Lease Agreement within 30 days of its expiration. A new lease will be presented to the Lessee upon receipt of request for renewal.

Termination of Lease Agreement: This lease will be terminated immediately upon the expiration date as indicated above should the Lessee choose not to renew the lease term for 12 additional months. Upon termination of this lease, the Lessee acknowledges and understands that Zaggers.com (Lessor) shall retain full ownership rights to the domain, hosting, website design, search engine optimization techniques, strategies and content for the website in its entirety except for any images or textual content given to Lessor by Lessee. In such case, Lessor will delete such images and content including agent’s name from the website within 10 days of the termination of this agreement. Lessor will utilize the domain, website and search engine optimization as it sees fit for its own marketing purposes moving forward. 

Indemnification: The Lessee agrees to indemnify Zaggers.com, (website owner) and its respective officers, directors, agents and employees, against and hold them harmless from any and all expenses, costs and liabilities arising from or related to the website in any way.

Severability and Waiver: Should any provision of the Website Lease Agreement be held by a court of law to be illegal, unenforceable or invalid, the legality and enforceability of all other remaining provisions of the Website Lease Agreement shall not be affected or impaired thereby. The failure of any party to enforce any of the terms or conditions of this Website Lease Agreement, unless waived in writing, shall not constitute a waiver of the party's right to enforce each and every other term and condition of the Website Lease Agreement.

Governing Law: The Website Lease Agreement shall be governed by the laws of the State of California as they apply to contractual agreements and in accordance to the state whereby such Website Lease Agreement was executed by the Lessor (website owner). Except as provided herein, all rights of the parties involved are cumulative and additional to any rights that the parties may have in law or in equity. 

Taxes: The Lessee agrees to pay all taxes associated from any and all income that Lessee receives as derived from the client development associated with the lease of this website. 

Guarantee: The Lessor does not guarantee the amount of website traffic nor the number of leads that are generated by the leased website with respect to this Website Lease Agreement. Geographic area and demographics play a large part in the traffic count and lead generation as does the website positioning. The Lessor does agree to monitor the website positioning regularly using its high tech tracking software and further agrees to alter or tweak the website storyline and meta tag coding as it deems necessary in order to obtain optimal website rankings on the major search engines for the exposure and branding of the agent or Lessee. The Lessor's goal and intent are to provide exceptional exposure on the internet for the leased website in order to advance and enhance the new client development of the Lessee's real estate business.

Incentives: The Lessor agrees to provide the Lessee with complimentary premium listings on some of its sister websites including: Zaggers.com for the area associated with the leased website and for the duration of the lease term as noted in this Website Lease Agreement. The Lessor further agrees to promote the leased website on other websites that it may build that are germane to the Lessee's real estate business during the term of the Website Lease Agreement. 

Lessees Responsibilities:  Lessee agrees to provide Lessor with RETS Server information so that MLS listings and IDX data can be transferred to the website database.  All fees for RETS Server access (if any) shall be paid by the Lessee.  Lessee will notify Lessor immediately if any act of non-compliance with local, state or federal law or MLS Board Guidelines regarding advertising of real estate on the website.
